Job Description

Description

We are seeking a Board member with a background in the corporate, government or nonprofit sectors, as well as those who have an interest in the organization’s mission as well as a desire to volunteer. Currently, our greatest needs are in the area of law.

Board meetings are held four times per year, and members attend either in person or virtually. Further, Board members are expected to:

  • know the organization’s mission, policies, programs, and needs
  • faithfully read and understand the organization’s financial statements
  • leverage connections, networks, and resources to benefit the organization’s reputation, strengthen its partnerships, and secure the financial resources necessary to advance its mission
  • serve as active advocates and ambassadors for the organization
  • prepare for, attend, and conscientiously participate in board meetings; board members are expected to attend a majority per year
  • participate fully in one or more committees (Audit, Finance, or Leadership Development and Nominating Committee)
  • follow the organization’s bylaws, policies, and board resolutions
  • sign an annual conflict-of-interest disclosure and update it during the year if necessary, as well as disclose potential conflicts before meetings and actual conflicts during meetings
  • maintain confidentiality about all internal matters of the organization.

 

As the highest leadership body of the organization and to satisfy its fiduciary duties, the greater Board is responsible for:

  • Validating the mission and purposes of the organization
  • Selecting and evaluating the performance of the chief executive
  • Overseeing strategic and organizational planning
  • Ensuring strong fiduciary oversight and financial management including the approval of an annual budget
  • Fundraising and resource development
  • Monitoring the organization’s programs and services
  • Enhancing the organization’s public image
  • Assessing its own performance as the governing body of the organization

Requirements

PYXERA Global is looking for curious individuals with a global worldview.   Ideally, candidates will have experience in one or more of the identified priority areas:

  • Private sector/corporate
  • Fundraising
  • Legal: international experience preferred, complex corporate structure knowledge (subsidiaries/c-corps), relationships with firms that has domestic & international reach
  • Doing business in/entering emerging markets
